Terms of Service
Last updated October 14, 2026
These Terms of Service ("Terms") govern your access to and use of Sofiya.ai and related services (the "Service"), provided by Cognitive Analytics ("Sofiya", "we", "us"). By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use Sofiya through an educational institution, school, or other organization (an "Institution"), your Institution may have a separate agreement with us. If that agreement conflicts with these Terms for your Institution's use, the agreement controls.
1. Accounts and invitations
- Most accounts are created by invitation from an Institution administrator. Invitation links are personal to the invitee; do not share them.
- You must provide accurate information and keep your account credentials secure. You are responsible for activity under your account.
- Never share your password. Sofiya will never ask for it by email or chat.
- Notify us promptly at hello@sofiya.ai if you suspect unauthorized access.
- Institution administrators may add, remove, and manage users and their access (including chat access) within their Institution.
2. Who may use the Service
You must be old enough to form a binding agreement in your jurisdiction, or use the Service under the authority of your Institution and, where required, with parental or guardian consent obtained by the Institution. Institutions are responsible for ensuring their users are authorized to use the Service.
3. Acceptable use
You agree not to:
- break the law or violate the rights of others;
- upload content that is unlawful, harassing, hateful, sexually explicit involving minors, or otherwise harmful;
- attempt to access accounts, data, or Institutions you are not authorized to access;
- probe, scan, or test the vulnerability of the Service, or interfere with its operation or security;
- reverse engineer, scrape, or copy the Service except as permitted by law;
- use the Service to build a competing product, or resell access without our written permission;
- use the AI features to generate malware, to deceive or impersonate others, or to produce content that violates these Terms; or
- circumvent usage limits, access controls, or safety features.
We may suspend or restrict access if we reasonably believe these rules are being violated.
4. AI features
Sofiya includes AI-powered chat and related features.
- Outputs may be inaccurate or incomplete. Review them critically and verify important information. AI output is not professional advice (academic, legal, medical, or otherwise).
- Academic integrity. Instructors set how AI may be used in their classes. You are responsible for following your Institution's and instructor's academic integrity rules.
- Similar outputs. The same or similar output may be generated for different users, so we cannot guarantee that any output is unique.
- Your use of AI features is also subject to our Privacy Policy, which describes how chat content is handled.
5. Your content
"Your Content" means what you or your Institution submit to the Service, such as course materials, assignments, submissions, and chat messages.
- You keep your rights. As between you and Sofiya, you (or your Institution or licensors) retain ownership of Your Content.
- License to us. You grant Sofiya a limited, non-exclusive, worldwide license to host, process, reproduce, and transmit Your Content solely to provide, secure, and support the Service (including generating AI responses) and as described in our Privacy Policy.
- Your responsibility. You confirm you have the rights needed to submit Your Content and that doing so does not infringe anyone's rights. Do not upload material you are not allowed to share, or sensitive information not needed for educational purposes.
- Institutions control access to Your Content within their Institution, and it may be visible to administrators and instructors according to their roles.
6. Our intellectual property
The Service, including its software, design, text, and trademarks, belongs to Sofiya or its licensors and is protected by law. We grant you a limited, revocable, non-transferable right to use the Service according to these Terms. Feedback you give us may be used by us without obligation to you.
7. Third-party services and integrations
The Service may work with third-party platforms, including your learning management system (via LTI) and our infrastructure and AI providers. We are not responsible for third-party services, and your use of them may be governed by their own terms.
8. Fees
If you access the Service through your Institution, your Institution is responsible for any fees under its own agreement with us. If you access the Service directly through a self-serve paid plan, the applicable plan, price, currency, and billing interval will be shown to you at the time of purchase, and amounts are non-refundable except as required by law or as stated in your order.
9. Availability and changes
We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, with reasonable notice where practical. We may perform maintenance that temporarily affects availability.
10. Termination
You may stop using the Service at any time. Your Institution may remove your access. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service and its users. On termination, your right to use the Service ends, and our handling of your information follows our Privacy Policy and any agreement with your Institution. Sections that by their nature should survive (including 5, 6, 11, 12, and 13) will survive.
11. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI output will be accurate, reliable, or suitable for any purpose.
12. Limitation of liability
To the fullest extent permitted by law, Sofiya and its directors, employees, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill. Our total liability for any claim arising out of the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim and (b) CAD $100. Nothing in these Terms excludes liability that cannot be excluded by law, and some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Governing law and disputes
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, except where applicable law gives you the right to bring a claim elsewhere.
14. Changes to these Terms
We may update these Terms. We will post the updated version with a new "Last updated" date and give notice of material changes through the Service or by email. Continued use after changes take effect means you accept them.
15. General
These Terms (with the Privacy Policy, Cookie Policy, and any Institution agreement) are the entire agreement between you and Sofiya about the Service. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of the business.
